**WHY CONDUCT, NOT DOCUMENTATION, SHAPES THE COST OF CAPITAL**

**WHAT IS HAPPENING**

Regulatory expectations on African financial services firms have risen markedly. Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) standards have tightened following Financial Action Task Force (FATF) evaluations, and data protection laws are now in force in South Africa, Kenya, Zimbabwe, Nigeria and most other major markets. Development Finance Institutions (DFIs) apply detailed integrity and governance due diligence before committing capital. Firms often respond by adding policies and approval steps, which produces documentation but not necessarily better conduct.

**WHY IT MATTERS**

In Africa, compliance shapes the cost of capital for entire economies. When a country is placed under FATF increased monitoring (the “grey list”), banks and investors apply enhanced due diligence to linked transactions, adding cost and friction to cross-border flows. Only reform reverses this, as the removals of Zimbabwe, South Africa, Nigeria and Mozambique have shown. In private markets, where public information is limited, investors rely heavily on a manager’s governance and conduct, and DFIs typically require adherence to frameworks such as the IFC Performance Standards.

**COMMON MISCONCEPTIONS**

“Meeting the regulatory minimum is enough.” Regulators set the floor, not the target; firms that aim only at it react to rule changes rather than anticipate risk. “Compliance is the compliance department’s job.” The compliance function advises, monitors and challenges, but ownership of risk sits with the investment, credit and advisory teams who make decisions. “More policies mean stronger compliance.” Investor due diligence tests how policies operate in practice; policies that are not understood, resourced or enforced create false comfort. “Compliance slows down transactions.” Delays usually come from late reviews. Engaging compliance early lets issues such as beneficial ownership or sanctions exposure be resolved while still inexpensive.

**NURTURE'S POINT OF VIEW**

A strong compliance culture starts with leadership: commitment to integrity must show in investment committee decisions, performance reviews and remuneration. The compliance function needs adequate resources, independence and direct access to the board, while standards bind everyone regardless of seniority or revenue contribution. Most importantly, compliance is embedded in daily decisions: people ask whether an action is lawful, in clients’ interests and able to withstand scrutiny from a regulator or investor, and concerns raised in good faith are protected from retaliation.

In African private markets, we believe a demonstrable compliance culture is a competitive advantage: it supports capital raising from institutional and DFI investors and reduces the execution risk investors often price into African transactions. As regional standards converge with international norms, firms that have embedded these principles will adapt more readily. A compliance culture is ultimately measured not by the number of policies a firm has, but by the quality of its people’s decisions when doing the right thing is difficult.
